1. Purpose
This Memorandum of Understanding (“MoU”) records the understanding between Nurvix (the “Platform”) and the Hospital named below (the “Partner”) to make the Partner's verified nurses available for doctor-prescribed home-care services booked through the Platform.
2. Scope of collaboration
The Platform lists the Partner and its nurses, receives home-care bookings from patients, and routes each booking to an available nurse of the Partner.
The Partner is responsible for the professional conduct, credentials and clinical supervision of its nurses during every visit.
3. Nurse verification & credentials
The Partner confirms that each nurse it makes available holds a valid nursing qualification and registration, and that identity, licence and background checks have been completed.
The Partner shall promptly withdraw from the Platform any nurse whose credentials lapse or who is no longer fit to practise.
4. Service standards
Nurses shall deliver care only on the basis of a valid doctor's prescription or advice, follow sterile and safe practices, and treat patients and their homes with respect.
The Platform does not provide diagnosis or emergency medical response; nurses shall advise patients to seek emergency care where clinically indicated.
5. Availability & dispatch
The Partner's authorised admin controls, through the Platform's hospital panel, which nurses are live, which services each nurse offers, and their real-time availability.
Bookings are offered to the Partner's available nurses; the Partner shall make reasonable efforts to fulfil accepted bookings on time.
6. Pricing & settlement
Service prices comprise the Partner's base charge and the Platform's service fee, displayed transparently to the patient before confirmation.
Amounts collected online shall be settled to the Partner on the agreed cycle, net of the Platform's fee and applicable taxes. Cash-on-visit amounts are collected by the nurse and reconciled per the agreed process.
7. Data protection & confidentiality
Each party shall keep patient personal and health information confidential, use it only to deliver the booked care, and protect it with reasonable safeguards.
Neither party shall use the other's data for any purpose beyond this collaboration without consent, and both shall comply with applicable data-protection law.
8. Compliance & insurance
The Partner shall comply with all laws applicable to nursing and home-care services and maintain any registrations and insurance required for its operations.
9. Term & termination
This MoU takes effect on the date of signature and continues until ended by either party with thirty (30) days' written notice, without prejudice to bookings already in progress.
Either party may terminate immediately for a material breach that is not remedied within fifteen (15) days of notice.
10. Nature of the arrangement
This MoU records a good-faith commercial understanding and the intent to collaborate. It does not create a partnership, agency or employment relationship between the parties, each of which remains an independent operator.
